SPLAI Terms of Service

Article 1 (Application)

These Terms of Service (hereinafter referred to as "Terms") define the conditions for the use of SPLAI (hereinafter referred to as "Service").

These Terms apply to all customers (hereinafter referred to as "Users") who use the Service.

By using the Service, Users are deemed to have agreed to these Terms.

Article 2 (Definitions)

The definitions of terms used in these Terms are as follows:

  1. "Service" refers to the AI agent platform provided by SPLAI and all related functions and services.
  2. "User" refers to any individual or legal entity who agrees to these Terms and uses the Service.
  3. "AI Agent" refers to the artificial intelligence-based dialogue system created and used by Users on the Service.
  4. "Conversation History" refers to the record of dialogues between Users and AI Agents.

Article 3 (User Registration)

Those who wish to use the Service shall apply for user registration by the method prescribed by us, after agreeing to these Terms.

Applicants for user registration must provide true and accurate information when applying.

We may refuse user registration in the following cases:

  1. If there is any falsehood, error, or omission in the application
  2. If the application is from someone who has previously violated these Terms
  3. If we otherwise determine that user registration is inappropriate

Article 4 (Account Management)

Users shall properly manage their account information for the Service at their own responsibility.

Users shall not allow third parties to use their account information, or lend, transfer, change names, sell, etc.

Users shall be responsible for any damage caused by insufficient management of account information, errors in use, or use by third parties.

Article 5 (Prohibited Actions)

Users shall not engage in the following actions when using the Service:

  1. Actions that violate laws or public order and morals
  2. Actions related to criminal acts
  3. Actions that infringe upon the intellectual property rights of us or third parties
  4. Actions that damage the reputation or credibility of us or third parties
  5. Actions that use information obtained through the Service for commercial purposes without our prior consent
  6. Actions that interfere with the operation of the Service or place excessive load on the network or systems of the Service
  7. Actions that use AI Agents to generate harmful content such as illegal content, hate speech, child exploitation, fraud, etc.
  8. Actions that attempt to circumvent or disable the security of the Service
  9. Actions that access, operate, use, or connect to external services, systems, websites, applications, APIs, accounts, or similar resources in a manner not intended or authorized by their providers, including but not limited to the use of unofficial clients, non-public APIs or endpoints, specifications obtained through analysis or reverse engineering, scraping, automated operation, AI Agent operation, or circumvention of access controls, authentication, usage restrictions, screen flows, or other technical or operational limitations. Such actions may constitute unauthorized computer access, other violations of law, breaches of third-party terms, or tortious conduct.
  10. Other actions that we determine to be inappropriate

If we determine that any of the foregoing actions has occurred or is likely to occur, we may, without prior notice, suspend use of the Service, suspend accounts, disable external service integrations, conduct investigations, preserve logs and other necessary information, consult with or report to relevant authorities or rights holders, seek damages, or take any other necessary legal measures.

Article 6 (About AI Output)

The output of AI Agents (responses, generated content, etc.) is generated based on User input, but we do not guarantee its accuracy, correctness, or completeness.

We assume no responsibility for the results of using AI Agent output.

When making important decisions, please do not rely solely on AI Agent output, and be sure to consult experts and verify information.

Information entered by Users and conversation history is not used for AI model training. However, anonymized statistical data may be used to improve service quality and for security reasons.

Article 7 (Service Changes and Suspension)

We may change or suspend the provision of the Service without prior notice to Users.

We assume no responsibility for any damage caused to Users by changes or suspension of the Service.

Article 8 (Disclaimer)

We do not guarantee, either explicitly or implicitly, that the Service is free from de facto or legal defects (including defects in safety, reliability, accuracy, completeness, effectiveness, fitness for a particular purpose, security, errors or bugs, infringement of rights, etc.).

We assume no responsibility for any damage caused to Users by the Service, except in cases of our intentional or gross negligence.

Article 9 (Limitation of Liability)

Even if we are liable for damages to Users, our liability shall be limited to the total amount of usage fees paid by the User to us in the 12 months prior to the occurrence of such damage.

We shall not be liable for damages arising from causes not attributable to us, damages arising from special circumstances regardless of our foreseeability, lost profits, or indirect damages.

Article 10 (Changes to Terms)

We may change these Terms without notice to Users when we deem it necessary.

The changed Terms shall take effect when posted on our website.

Article 11 (Referral Codes and Coupon Codes)

We may issue referral codes and coupon codes (hereinafter referred to as "Codes") for the purpose of promoting the use of the Service.

The following actions are prohibited in connection with the use of Codes:

  1. Unauthorized acquisition, duplication, alteration, or resale of Codes
  2. Duplicate application of Codes through the use of multiple accounts by the same User
  3. Use of Codes in a manner that deviates from their intended purpose

If we determine that the use of Codes is inconsistent with their intended purpose, we may cancel the application of the discount or restrict future use of Codes without prior notice.

Article 12 (Purchase and Use of Points)

Users may purchase points and apply them toward the use of AI features.

Points are valid for 90 days from the date of purchase.

Points that exceed their expiration date will automatically expire and cannot be refunded.

Records necessary for point purchases, payment processing, billing, or chargeback handling may be retained to the extent required by law or legitimate business needs.

Article 13 (Account Deletion)

Users may request account deletion from the settings screen designated by us.

Once account deletion begins, Users may lose access to the Service, leave workspaces they participate in, and any workspace they own may become subject to deletion.

Once account deletion has started, cancellation or restoration may not be possible.

Even after account deletion, we may retain certain information to the extent necessary for legal compliance, payment and accounting operations, fraud prevention, audits, incident response, or other legitimate business needs. Details are governed by the Privacy Policy.

Article 14 (Governing Law and Jurisdiction)

These Terms shall be governed by and construed in accordance with Japanese law.

Any disputes arising in connection with the Service shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
